Terms of service

These terms govern use of RecFlow, a reconciliation platform provided by Korevra Technologies Limited ("Korevra", "we"), a company registered in Nigeria, to the institution that opens a workspace ("you", "the customer"). By creating a workspace or accepting an invitation you agree to them on behalf of your institution.

1. The service

RecFlow recomputes and reconciles card, transfer and branch settlements from files you load into your browser. The reconciliation itself runs on your device; Korevra operates the sign-in, workspace, subscription and billing services around it. We may improve the service continuously; we will not remove a capability you pay for during a paid period without notice.

2. Accounts and workspaces

• You must give accurate details and keep your sign-in confidential. You are responsible for activity under your workspace, including by people you invite.
• One free 48-hour trial is available per institution, keyed by email domain. We may refuse or end a trial that is used to evade this.
• Roles (owner, admin, analyst, viewer) control what each person can do. Owners and admins are responsible for who they invite.

3. Plans, fees and payment

• Fees are stated in the app and on recflow.io, in naira or US dollars, exclusive of VAT where applicable. Subscriptions renew automatically for the same term until cancelled.
• Payments are processed by Flutterwave (naira) or Stripe (dollars). We do not store card numbers.
• If a renewal fails, access continues for a 7-day grace period while payment is retried, after which the workspace becomes read-only until payment succeeds.
• You may cancel at any time; access continues to the end of the paid period. Fees already paid are not refunded except where the law requires or where we have failed to provide the service for a material part of a period.
• Enterprise terms, including private tenants, SSO, the RecFlow Bridge and service levels, are set out in an order form that takes precedence over these terms where they differ.

4. Your data

• Reconciliation data (files, rows, results, treatments, exports) stays in your browser and is yours. We do not receive it and claim no rights to it.
• Account and billing data we hold is processed under our privacy policy and data processing summary.
• You are responsible for your lawful basis to process the files you load, including customer data within them, and for any approvals your regulator requires.

5. Acceptable use

You will not use RecFlow to break the law, infringe others' rights, attack or probe the service, resell it, or load content you have no right to process. We may suspend a workspace that breaches these terms after giving notice where practical.

6. Availability and support

We aim for the service to be available continuously and keep status and build information visible in the app. Support is by email for Essentials, priority email for Professional, and as agreed for Enterprise. Planned maintenance is announced in the app.

7. Warranties and liability

RecFlow recomputes figures from the files you provide. It is a tool for your reconciliation process, not a substitute for your controls, and its output depends on the completeness and accuracy of your inputs. Except as stated here, the service is provided as is. To the extent permitted by law, Korevra's total liability for any claim in a contract year is limited to the fees paid by you in the twelve months before the claim, and neither party is liable for indirect or consequential loss. Nothing limits liability for fraud or for anything that cannot be limited by law.

8. Changes and termination

We may update these terms with at least 30 days' notice in the app or by email; continued use after that date is acceptance. Either party may terminate for a material breach not remedied within 30 days of notice. On termination your workspace closes; because reconciliation data never left your browser, your exports remain with you.

9. General

These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State have jurisdiction. Notices to us go to support@korevra.com. If any provision is unenforceable the rest remains in force. These terms, the privacy policy, the data processing summary and any order form are the whole agreement.
